1. Professional Services & Engineering Scope
Adbrotech delivers professional web application development, custom software engineering, mobile application programming, digital marketing, security installation, and brand design services. Specific deliverables, milestones, payment schedules, and performance criteria are governed by individual Statements of Work (SOW) executed between Adbrotech and the client.
2. Intellectual Property (IP) Ownership
- Custom Client Deliverables: Upon 100% final settlement of agreed project fees, full commercial intellectual property and source code ownership for custom-built software is transferred to the client.
- Proprietary Frameworks & Pre-built Assets: Pre-existing software libraries, boilerplates, and store assets remain the intellectual property of Adbrotech and are granted under perpetual, non-exclusive commercial use licenses.
3. Client Responsibilities & Asset Provision
To ensure on-time milestone delivery, clients are responsible for providing necessary brand assets, API keys, content approvals, and feedback within agreed sprint review cycles.
4. Payment Terms & Milestone Invoicing
Project fees are structured in structured milestone disbursements (e.g., initial kickoff retainer, design sprint sign-off, staging review, and live deployment sign-off). Invoices are payable via approved banking channels, UPI, Stripe, or Razorpay within 7 business days of issuance.
5. Warranty & Post-Launch Support
All custom web and software applications developed by Adbrotech include 30 days of complimentary bug fixing and warranty support following production launch. Extended 24/7 technical monitoring, security patching, and SLA guarantees are available via annual maintenance agreements.
6. Limitation of Liability & Governing Law
Adbrotech shall not be liable for indirect, incidental, or consequential damages resulting from third-party server downtime, third-party API deprecations, or external cyber attacks beyond our direct architectural control. These terms are governed in accordance with the laws of Kerala, India.
